The Mad Hatter Company Affiliate Program Agreement — Version 2.0

Version 2.0 • Effective November 4, 2026 for new applicants who affirmatively accept this version.

This Agreement governs participation in The Mad Hatter Company (“Company,” “we,” “us,” or “our”) Affiliate Program (“Program”), administered using Superfiliate. It applies to both the Mad Hatter Affiliate Program - Female and the Mad Hatter Affiliate Program - Male.

Existing participants will receive separate notice and a request to accept this version. It does not retroactively change terms governing previously earned commissions.

Please read this Agreement carefully before signing up. By accepting it during registration, you agree to follow its terms. You may begin participating only after we approve your application.

Your role is to promote our products through authorized channels and earn commissions on eligible purchases attributed to your approved affiliate links or codes.

1. Eligibility and Approval

You must be at least 18 years old, legally able to enter into this Agreement, and provide accurate application, contact, tax, and payment information. If applying for a business, you must have authority to bind that business.

We may approve or reject applications at our discretion, subject to applicable law. You must keep your information current and identify the websites, social accounts, and other channels you use to promote us upon request.

2. Commissions and Eligible Purchases

Unless a separately signed agreement expressly states otherwise, both Programs pay 10% commission on eligible product revenue from new and returning customers. Subscription renewals after the initial subscription purchase do not earn commission. A customer's prior purchase, including a $0 gifting order, does not itself disqualify a later otherwise eligible purchase.

There is no minimum order subtotal for an otherwise eligible conversion under the current Program setup. Your own purchases, fraudulent orders, duplicate transactions, and purchases generated through prohibited promotional methods are not eligible.

Attribution window: 7 days after a qualifying affiliate-link click. An eligible purchase can be credited through your assigned affiliate code or through a qualifying tracked link without a code. Link tracking must remain available when the order is received; browser settings, consent choices, cleared cookies, different devices, and store integrations can affect tracking.

Only one affiliate commission may be awarded per eligible purchase. Using both a link and a code does not create multiple commissions. Only one discount code may be applied per order under the current Program setup. When a shopper clicks links from multiple affiliates, the most recent qualifying affiliate-link click receives link attribution. If a different affiliate's code is used, attribution is determined from the affiliate credited in Superfiliate and the available order and tracking records; we review documented attribution disputes in good faith rather than awarding duplicate commissions.

Commission base: eligible merchandise revenue actually retained after discounts, excluding taxes, shipping, gift-card sales, refunded merchandise amounts, and other non-merchandise charges. Purchasing a gift card does not earn commission. Using a gift card to pay for otherwise eligible merchandise does not, by itself, disqualify that merchandise purchase.

Canceled, fully refunded, or charged-back orders earn no commission. For a partial merchandise refund, we recalculate the commission at the applicable rate on the remaining eligible merchandise amount. A refund of shipping or tax alone does not reduce a commission base that already excludes shipping and tax. Returned merchandise credited back to the customer is excluded from eligible retained merchandise revenue. We reconcile gift-card transactions, returns, and refunds against Shopify records before payout and correct any difference between the platform balance and these rules.

Hold period: 30 days after the order date. Cancellations, returns, and refunds may cause commissions to be rejected or adjusted. Completion of the hold does not make fraudulent or otherwise ineligible activity eligible. Commissions subject to a legitimate review remain on hold until resolved under Section 9.

We may correct documented tracking or calculation errors in good faith. A tracked order or displayed balance is provisional until eligibility is confirmed. Any future minimum payout threshold must be disclosed before it applies to your earnings.

3. Payments and Account Setup

Approved commissions are paid once each calendar month after completion of the 30-day hold. Each monthly payout run includes eligible, approved commissions that have completed the hold by that run's cutoff. Amounts that have not yet completed the hold carry forward to the next monthly cycle. This Agreement does not promise payment on the order date or immediately when the hold ends.

The Company initiates monthly payouts; Superfiliate does not automatically send payment when a hold expires. We communicate payout processing and any applicable cutoff through the Program portal or directly to you.

We administer payments using our designated payment provider or method, communicated through your Superfiliate portal or directly by us. You must complete required payment and tax onboarding and maintain accurate payment details.

Superfiliate provides Program technology; our payment obligations to you remain governed by this Agreement.

If incomplete information or a legitimate review delays payment, eligible amounts will be carried forward until the issue is resolved. We will explain material payment delays and address them within a reasonable time.

You are responsible for taxes on your earnings, except for amounts we are legally required to withhold or remit.

4. Permitted Promotion and Brand Use

You may promote us through your own approved websites, social media accounts, original content, and lawful personal referrals.

We grant you a limited, nonexclusive, revocable, nontransferable permission to use approved Company names, logos, images, and promotional materials solely for authorized Program activities.

You may create your own content if it is accurate, lawful, consistent with our brand guidelines, and does not misrepresent our products or your relationship with us.

You may not:

  • Represent yourself as the Company, its official customer support, or an authorized spokesperson.

  • Create accounts, domains, or pages that misleadingly appear to be owned or operated by us.

  • Register domains, usernames, or trademarks containing our brand names or confusingly similar variations without written permission.

  • Make unauthorized product claims, guarantees, warranties, or promises.

  • Copy or use content belonging to others without permission.

Approval of organic content does not authorize paid advertising.

5. Paid Advertising and Brand Bidding

Paid advertising promoting the Company, our products, or your Company affiliate links or codes requires our prior written approval.

This includes paid search, shopping ads, display ads, paid social campaigns, boosted posts, sponsored placements, and advertisements operated by another person on your behalf.

Unless we specifically authorize an exception in writing, you may not:

  • Bid on or target “The Mad Hatter Company,” “The Mad Hatter Co,” our website domain names, or variations, misspellings, abbreviations, and confusingly similar versions identifying our brand.

  • Target brand terms combined with words such as “coupon,” “discount,” “promo code,” “sale,” “official,” or “reviews.”

  • Use our website address as an advertisement’s display URL or imply that your advertisement is our official advertisement.

  • Send paid traffic directly or indirectly to our website, a Superfiliate storefront, or another Company-related landing page using your affiliate tracking.

  • Route advertisements through intermediate websites, redirects, shortened links, or other accounts to evade these restrictions.

  • Run campaigns designed to intercept customers searching for our brand or replace our advertising with affiliate-tracked advertisements.

These restrictions apply regardless of whether your advertisement appears above or below ours, and regardless of whether we are actively advertising.

For any approved paid-search campaign, you must use appropriate negative keywords, brand exclusions, and other available controls to prevent prohibited brand targeting, including through automated targeting. You must monitor actual search terms and promptly correct prohibited matches.

This prior-approval requirement includes paying to boost your own organic posts when they promote the Company, its products, or Company affiliate links or codes.

Written approval must identify the permitted channels and scope. General Program acceptance does not constitute advertising approval. We may withdraw advertising approval prospectively by written notice.

6. Coupons, Deal Sites, and Traffic Diversion

You may share only codes and offers expressly assigned to you or approved for your promotion.

You may not:

  • Publish, submit, or arrange distribution of affiliate links or codes through coupon aggregators, deal directories, cashback services, browser extensions, or similar discount-distribution tools.

  • Promote private, leaked, expired, employee-only, or unauthorized codes.

  • Advertise nonexistent discounts or use misleading “click to reveal” offers.

  • Use pop-ups, redirects, browser software, or other mechanisms to insert affiliate tracking without a customer’s informed action.

  • Overwrite another affiliate’s attribution or attach your tracking to a purchase you did not genuinely refer.

  • Offer unauthorized cashback, rebates, or incentives to induce use of your link or code.

If you discover unauthorized distribution of your code or link, notify us promptly and reasonably cooperate in removing it. Unauthorized copying by an unrelated third party, without your involvement, is not by itself proof that you violated this Agreement.

7. Honest Marketing and Affiliate Disclosures

Your promotions must be truthful and reflect your actual experience. Do not make unsupported claims or create fake reviews or endorsements.

You must clearly disclose your financial relationship with the Company with each relevant endorsement and near affiliate links or codes. For example: “I earn a commission if you purchase through my link or code.” If you receive free or discounted products in connection with an endorsement, clearly disclose that benefit too.

Disclosures must be easy to notice and understand, in the language of the promotion, and appropriate to its format. Do not rely solely on a profile biography, a hidden disclosure page, a personalized discount code, or the words “affiliate link.”

For video endorsements, include the disclosure in the video itself and near affiliate links in the accompanying description. Make visual disclosures for visual endorsements and spoken disclosures for spoken endorsements; use both when the endorsement is both visual and spoken. For live endorsements, repeat disclosures as needed for viewers joining later.

You must follow applicable advertising laws, FTC endorsement requirements, platform rules, and our written product-marketing guidelines.

8. Prohibited Conduct

You may not engage in:

  • Self-referrals, fabricated orders, stolen payment activity, or other commission fraud.

  • Cookie stuffing, forced clicks, bots, click manipulation, or tracking interference.

  • Unsolicited bulk email or text messages, unlawful data collection, or unauthorized use of customer information.

  • Promotion through unlawful content or misleading, discriminatory, or infringing material.

  • Concealment of traffic sources, falsification of performance records, or circumvention of restrictions.

  • Delegation of Program promotion to sub-affiliates or advertising partners without our written approval.

You are responsible for Program activities you direct or authorize others to perform on your behalf.

9. Monitoring, Investigations, and Remedies

We may review promotional content, traffic sources, attribution records, and compliance using Superfiliate, other service providers, and manual review.

Monitoring does not guarantee detection of every violation. Failure to detect or immediately act on conduct does not authorize it or waive our rights.

Upon a reasonable request, you must provide relevant campaign information or records needed to investigate a suspected violation, subject to applicable privacy obligations. Do not provide account passwords or unrelated personal information.

Where we reasonably suspect a violation, we may temporarily suspend affected links, codes, or promotional permissions and hold commissions reasonably connected to the activity under review.

Google Ads traffic through affiliate tracking is currently set to freeze affected commissions for review. A flag is a reason to review activity, not proof of a violation, and does not by itself establish brand bidding or detect every paid ad or coupon-site leak.

We will send notice to your email address on file describing the concern and provide a reasonable opportunity to respond. We may require immediate removal or suspension of advertisements or content where necessary to stop ongoing harm.

If we determine, based on reasonable evidence, that a violation occurred, we may:

  • Require correction or removal of the prohibited activity.

  • Suspend or terminate your participation.

  • Deny or reverse commissions attributable to prohibited activity.

  • Seek repayment of commissions already paid for ineligible transactions.

  • Offset documented, recoverable overpayments against future commissions where permitted by law.

  • Pursue other remedies available under applicable law.

We will explain material commission adjustments. Unrelated, valid commissions will not be forfeited solely because other activity is under investigation or because your participation ends. Recovery of documented overpayments that cannot be offset against future commissions will be handled separately from the platform balance, subject to applicable law.

10. Termination

Either party may terminate participation by written notice. We may immediately suspend or terminate participation for material violations, fraud, or ongoing harm.

Upon termination, you must stop representing yourself as an active affiliate, stop prohibited or unauthorized advertisements, and remove Company branding and promotional materials as reasonably directed.

Before any account action that clears an affiliate’s platform balance, we will identify and preserve records of eligible unpaid commissions and arrange their payment under this Agreement. Termination does not eliminate payment obligations for eligible activity occurring before termination. Purchases attributable to valid pre-termination referrals may remain eligible within the previously disclosed attribution window, subject to this Agreement.

No new referrals made after termination qualify for commissions. Provisions concerning accrued payments, repayment, intellectual property, liability, and dispute resolution survive as necessary to give them effect.

11. Independent Relationship and Responsibility

You are an independent participant. This Agreement does not create employment, a partnership, a joint venture, or authority to bind the Company.

You are responsible for your promotional expenses unless we approve reimbursement in writing.

To the extent permitted by law, you will reimburse the Company for reasonable losses, costs, and third-party claims directly resulting from your fraud, willful misconduct, infringement, or material breach of this Agreement. This obligation does not cover losses caused by the Company’s own misconduct. We will promptly notify you of relevant claims and reasonably cooperate in their defense.

12. Service Availability and Liability

We do not guarantee a minimum level of earnings, uninterrupted tracking, or continuous availability of the Program or third-party services. We will review documented tracking and payment errors in good faith.

To the extent permitted by law, neither party is liable to the other for indirect or consequential losses arising from this Agreement.

Nothing in this Agreement excludes liability that cannot lawfully be excluded, excuses payment of valid commissions, or limits responsibility for fraud or willful misconduct.

13. Changes, Notices, and General Terms

Each version of this Agreement is identified by a version number and effective date. We will communicate material changes by email or through the Program portal at least 30 days before they take effect and request affirmative acceptance of the revised version. We retain the accepted version identifier and acceptance record; copies of prior versions are preserved.

Changes to commission rates, eligibility, or payout terms apply prospectively and do not retroactively reduce commissions already earned under the terms then in effect.

If you do not accept updated terms, you may end your participation before they take effect. We may suspend new participation after that date pending acceptance, while preserving payment obligations for eligible prior activity.

A separately signed agreement controls over conflicting provisions here to the extent it expressly identifies the exception. Otherwise, this Agreement and the compensation details provided when you join govern your participation.

If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision on one occasion does not waive future enforcement.
